“Account” refers to your registered user account with Scale360 AI.

“Subscription” means any paid plan or service tier you have purchased or enrolled in.


3. Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Content Restrictions:

  • Do not use our Services to create content that infringes intellectual property rights
  • Do not generate content that violates privacy rights or contains personal data without authorization
  • Do not create deepfakes, misleading content, or misinformation
  • Do not generate content for malicious purposes including fraud or scams

5.3 API Usage

If you use our APIs:

  • Comply with our API documentation and usage guidelines
  • Do not exceed rate limits or usage quotas
  • Implement proper error handling and security measures
  • Provide attribution as required in our API terms

6. Subscriptions and Payments

6.1 Pricing

Current pricing for our Services is available on our website. We reserve the right to change our pricing at any time with 30 days’ notice to existing subscribers.

6.2 Subscription Plans

  • Free Plans: Subject to usage limits and may include limited features
  • Paid Plans: Billed monthly or annually based on your selection
  • Enterprise Plans: Custom pricing with negotiated terms

6.3 Billing and Payment

  • Subscription fees are billed in advance on a recurring basis
  • You authorize us to charge your payment method on file
  • All fees are non-refundable except as required by law or stated in these Terms

  • Failure to pay may result in suspension or termination of Services

6.4 Automatic Renewal

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial periods.

6.6 Free Trials

We may offer free trials for certain Services. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

6.7 Refund Policy

We offer refunds only in the following circumstances:

  • Service unavailability exceeding our SLA commitments (for applicable plans)
  • Billing errors or duplicate charges

Refund requests must be submitted within 30 days of the charge.


7. Intellectual Property Rights

All intellectual property rights in our Services, including software, algorithms, designs, trademarks, logos, and documentation, are owned by Scale360 AI or our licensors. These Terms do not grant you any ownership rights.

7.2 Your Content

You retain ownership of all content you upload or input into our Services (“User Content”). By using our Services, you grant us:

  • A worldwide, non-exclusive, royalty-free license to use, process, and display your User Content solely to provide and improve our Services
  • The right to use aggregated, anonymized data derived from your usage for research and development

7.3 Generated Content

Content generated by our AI Services (“Generated Content”) is subject to the following:

  • You own the Generated Content you create, subject to these Terms
  • We do not claim ownership of Generated Content
  • You are responsible for ensuring Generated Content complies with applicable laws
  • Generated Content may not be unique and similar content may be generated for other users
  • We may use Generated Content in aggregated, anonymized form for improving our Services

7.4 Feedback

If you provide feedback, suggestions, or ideas about our Services, we may use them without any obligation to you.

7.5 Copyright Infringement

We respect intellectual property rights. If you believe content on our Services infringes your copyright, please contact us at legal@scale360ai.com with:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding accuracy, reliability, or availability of Services
  • Warranties that Services will meet your requirements or expectations

11.3 AI Output Disclaimer

WE DO NOT WARRANT THAT:

  • AI-generated content will be accurate, complete, or suitable for your purposes
  • AI models will be free from errors, biases, or limitations
  • Generated content will not infringe third-party rights

11.4 User Responsibility

You acknowledge that:

  • You use our Services at your own risk
  • You are responsible for evaluating the accuracy and suitability of AI outputs
  • You should not rely solely on AI-generated content for critical decisions
  • You must verify generated content before use in production environments

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALE360 AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Errors, inaccuracies, or harm resulting from AI-generated content
  • Third-party actions or content

12.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF SERVICES SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim, or
  • $100 USD

12.3 Exceptions

Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

12.4 Basis of Bargain

You acknowledge that these limitations are fundamental elements of the agreement between us and that we would not provide Services without these limitations.


13. Indemnification

You agree to indemnify, defend, and hold harmless Scale360 AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you submit, generate, or share through our Services
  • Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.


14. Term and Termination

14.1 Term

These Terms remain in effect while you use our Services.

14.2 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Contacting our support team
  • Ceasing to use our Services

14.3 Termination by Us

We may suspend or terminate your access to Services immediately, without notice, for:

  • Violation of these Terms
  • Fraudulent, illegal, or abusive activity
  • Non-payment of fees
  • Extended inactivity
  • Legal or regulatory requirements

14.4 Effect of Termination

Upon termination:

  • Your right to access and use Services immediately ceases
  • We may delete your account and data after a reasonable period
  • Fees owed remain due and payable
  • Sections that by their nature should survive (including indemnification, limitations of liability, and dispute resolution) will continue to apply

14.5 Data Export

Before termination, you may export your data through available tools. We are not obligated to maintain data after account termination.


15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles.

15.2 Informal Resolution

Before filing a claim, you agree to contact us at legal@scale360ai.com to seek informal resolution. We will attempt to resolve disputes within 60 days.

15.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, conducted in Montreal, Quebec.

15.4 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class-wide arbitration.

15.5 Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Breach of confidentiality
  • Violations requiring immediate action

15.6 Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of courts in Montreal, Quebec, Canada.


16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Scale360 AI.

16.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We are not liable for failure to perform obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet disruptions.

16.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Scale360 AI.

16.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, or a national of, any country subject to embargo or trade restrictions.

16.9 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

16.10 Survival

Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive termination of these Terms.


17. Service-Specific Terms

17.1 API Services

Additional terms apply to API usage:

  • API keys are confidential and must be protected
  • You must implement rate limiting and error handling
  • You are responsible for API usage under your account
  • We may modify, deprecate, or discontinue APIs with notice

17.2 Enterprise Services

Enterprise customers are subject to separate Master Service Agreements (MSA) which take precedence over these Terms in case of conflict.

17.3 Beta and Experimental Features

Access to beta features is provided “as is” without warranties. Beta features may be modified or discontinued without notice.
